Board Meetings & Resolutions

  • Ensuring that an effective governance structure is maintained
  • Conducting regular board meetings to review fund and service provider performance, strategy and governance issues
  • Attending to changes to directors and officers, addressing late subscriptions or waiving redemption notice periods in accordance with entity documentation, transfer of registered office and other matters
  • Reviewing periodic reports of service providers, net asset value and audited financial statements

Assisting With Fund Launch Documentation

Coordinating Parties & Documentation

  • Liaising with lawyers, fund administrators, auditors and other service providers
  • Commenting upon and assisting with the finalisation of service provider agreements
  • Reviewing articles of association to ensure incorporation of relevant provisions to ensure consistency with the private placement memorandum 
  • Corresponding with the registered office to ensure completion of regulatory filings

Fund Termination & Deregistration

Coordinating Wind Up

  • Preparing notice of winding up, liquidator's consent to act, liquidator's report, declaration of solvency and gazette notice to creditors 
  • Preparing resolutions to effect redemptions and payment of redemption proceeds 
  • Coordinating the final general meeting to approve the liquidator's report
  • Liaising with the regulator to deregister the fund
  • Corresponding with the registrar to obtain the certificate of dissolution

Risk Management

Oversight, Review, Audit

  • Identifying, assessing, and overseeing risks associated with the fund's operations and investments
  • Identifying "strategy drift" and monitoring compliance with investment restrictions
  • Managing conflicts of interest
  • Liaising with regulators to resolve regulatory issues
  • Discussing the adequacy of internal controls with auditors and service providers for delegated functions
